Advantage AI Terms of Service

IMPORTANT – PLEASE READ CAREFULLY – THESE TERMS CREATE A LEGALLY BINDING AGREEMENT BETWEEN YOU AND ADVANTAGE AI, A SERVICE PROVIDED BY IDEANDO INC ("Advantage AI," "we," or "us"), GOVERNING YOUR USE OF THE ADVANTAGE AI SERVICES. BY CREATING AN ACCOUNT OR USING THE SERVICES, YOU AGREE TO BE BOUND BY THESE TERMS. IF YOU DO NOT AGREE, YOU MUST NOT ACCESS OR USE THE SERVICES.
1. Interpretation & Definitions
1.1 Interpretation. Capitalized terms have specific meanings as defined herein and apply equally in singular or plural.
1.2 Definitions.
- “Services” means all offerings provided via Advantage AI’s platform—including video analysis tools, AI-driven coaching insights, evaluation frameworks, and related software and APIs.
- “Customer Data” means all content you or your users (e.g., uploaded videos, player data, metadata) submit to the Services.
- “Developed Data” means any data derived from or generated using Customer Data within the Services—such as aggregated analytics, performance insights, and AI model outputs—but excludes Customer Data itself or any personally identifying information.
- “Advantage AI IP” refers to the Services, platform, models, algorithms, tools, Documentation, and intellectual property associated therein.
- “Documentation” includes user guides, manuals, and developer resources provided by Advantage AI.
2. License & Use Rights
2.1 License Grant. Subject to your compliance with these Terms and payment of applicable fees, we grant you a non-exclusive, non-transferable, revocable license to access and use the Services solely for internal purposes.
2.2 Documentation License. Similarly, you receive a non-transferable, non-sublicensable license to use the Documentation solely in conjunction with your use of the Services.
2.3 Reservation of Rights. All rights not expressly granted are reserved by Advantage AI.
3. Use of the Services
3.1 Accounts & Access. You must register an account. You are responsible for maintaining accurate and secure login credentials and bear all costs associated with internet access and device usage.
3.2 Personal Responsibility. You are responsible for your account’s activity, Customer Data submitted, and ensuring all use complies with applicable laws. Any unauthorized or fraudulent use is your responsibility.
3.3 Prohibited Conduct. You must not:
- Use false identities or impersonate others.
- Post infringing or illegal content.
- Use the Services beyond the scope granted.
- Reverse engineer or misuse the platform.
- Share your login credentials or account access.
4. Ownership & Rights
4.1 Advantage AI IP. Advantage AI retains all ownership, title, and interest in the Services, Developed Data, and intellectual property.
4.2 Customer Data. You retain ownership of your Customer Data. By submitting it, you grant Advantage AI a worldwide, royalty-free license to use it for delivering the Services—and a perpetual license to incorporate de-identified data into Developed Data and use for Service improvement.
5. Developed Data & AI Training
You agree that Advantage AI may use Developed Data (including aggregated or anonymized insights derived from Customer Data) to train, enhance, or improve AI models. Such models remain property of Advantage AI.
6. Subscriptions & Fees
6.1 Subscriptions. Certain features may require payment of subscription or usage fees. All charges are due in advance unless stated otherwise.
6.2 Renewal. Subscriptions auto-renew unless canceled prior to renewal. Prorated refunds are not provided for partial periods.
6.3 Payment Failures. We reserve the right to suspend or terminate Services for non-payment.
7. Termination
7.1 For Cause. We may suspend, modify, or terminate your access if we believe you have violated these Terms, without liability or notice.
7.2 Termination by You. You may stop using the Services and effects such as data deletion will follow as per our policies.
7.3 Effect of Termination. Upon termination, your right to access Services stops immediately. We may delete or restrict access to Customer Data. Surviving provisions include sections on ownership, liability, disclaimers, and indemnification.
8. Disclaimer & Warranty
8.1 “AS IS” Basis. Services are provided “as is” and “as available,” with no warranties of any kind—either express or implied.
8.2 No Guarantees. We make no representation that Services or outputs will meet your needs, be uninterrupted, error-free, or secure—nor guarantee accuracy or performance.
9. Limitation of Liability
To the maximum extent permitted by law, Advantage AI will not be liable for indirect, incidental, consequential, or punitive damages, including lost profits or data loss.
10. Indemnification
You agree to indemnify and hold Advantage AI harmless from any claims arising from your use of the Services, Customer Data, or breach of these Terms.
11. Governing Law & Dispute Resolution
These Terms are governed by the laws of California. Any disputes will be resolved in the applicable courts of that jurisdiction.
12. Updates to Terms
We may revise these Terms and will provide notice of material changes before they take effect. Your continued usage of the Services constitutes acceptance of the revised Terms.
13. Entire Agreement & Severability
These Terms (with any referenced policies) constitute the complete agreement between you and Advantage AI. If any provision is unenforceable, the remaining provisions remain in effect.
